The market economy in our country is mainly driven by the enterprises. The output value ofprivate enterprises accounted for about68%of the total amount of the national economy. Thescale, benefit, social contribution and other indexes of private enterprises showed a trend ofgrowth. Private enterprises in our country have become the main driving force of nationaleconomy, greatly promote the economic development of China.Research the relationship ofprivate enterprise’s board of directors characteristics and corporate performance has greatsignificance.The article selects all the private enterprises which appeared on the market of Shanghai andShenzhen securities exchange by the end of2012.I take the scale of board of directors,independent, incentive and behavioral characteristics as the foundation, and choose the boardsize, the proportion of independent directors, the unity of two position, the proportion ofdirectors which not be paid, remuneration of board members and the number of board meeting asthe independent variable, and take the correlation analysis of the six variables, finally I take themultiple regression analysis as the method to research the relationship of independent variablesand company performance.Through research analysis, this paper draws the following conclusions: The size of boardand corporate performance are inverted u-shaped curve relationship, but significantcharacteristics is not obvious; The proportion of independent directors is negatively related to thecompany’s operating performance, and has significant relationship; Chairman and CEO whetherunited have negatively correlated with the company’s operating efficiency, and the significance isobvious; the proportion of directors which not be paid are negatively related with corporateperformance, and has significant relationship; Members of the board of directors remunerationlevels were positively correlated with the company’s operating performance; Frequency of boardmeeting has positive correlation with the company’s business performance; Ownershipconcentration and company development ability and performance level are positive correlation.And on this basis, suggestions are obtained.
