In Recent years, with the growth of foreign direct investment by Chinese manufacturing enterprises, the choice of investment mode has become an important issue when they decide to carry out overseas investment. The decision of foreign direct investment has been as a major strategic of Chinese manufacturing enterprises in the process of overseas expansion.In this background, based on the theory of foreign direct investment, this paper focus on the present situation of the foreign direct investment and the motivation of investment by manufacturing enterprises in China, in order to analysis the influence factors of greenfield investment and cross-border M&A. As a result, I will put forward a series of suggestions to manufacturing enterprises in our country on foreign direct investment mode selection and internationalization development.The mode of foreign direct investment can be classified in different ways. Recent years, Greenfield investment and cross-border M&A has been considered as two of the most important investment patterns. This paper based on the actual data of transnational investment project from2006to2012by manufacturing enterprises in China, find out the characteristics and existing problems both in Greenfield investment and cross-border M&A. Then take an empirical research on the major factors that influenced the decisions on foreign direct investment by multinational enterprises in the framework of "location choice-pattern choice". Conclusion shows that economic development level, labor cost, market opening degree, market scale and potential of host country are all major factors that influenced the decisions on location choice and pattern choice. In order to promote the industrial structure transformation and upgrade technology in our country, suggest that further adjust the location and industrial structure of overseas investment, take different investment strategy in different areas and improved the localization of multinational companies in host countries.
