With the rapid development of global information, as the largest developing country in the world, China’s economic and social construction speed quickly up to catch up with the developed countries. Urbanization speeds up and the rate of urbanization increased. Its result is that the urban residents increased, traffic jam and land residents used is getting high tension. And the capacity of urban metro transport is nearly 10 times as that of highway traffic transport, which can effectively alleviate the pressure of the traffic and transportation. Therefore, urban metro construction, recently, has been more and more attention. However, the urban metro construction is a great task. H Compared with the general engineering, it is restricted by many factors. The risk of urban rail transit construction greatly increased. In generally, we used risk management measures to deal with the risk, and this measure has risk avoidance, risk mitigation, risk retention, risk prevention, and risk transfer. Engineering insurance is the important tool of risk management, which can effectively transfer the project risk, so as to ensure the smooth operation of the project. Therefore, the paper studies the project participants, project overall goal organic coordination and build risk pooling of body to deal with risks total project life cycle may arise.This paper optimizes in insurance bodies of Urban Rail Transit Project Risk, and explores its operation mechanism. Based on the theory of self-organization, it builds urban rail transit insurance bodies, and explores the mechanism of co-insurance risk of a cooperative mechanism and the mechanism of the parties to achieve synergies of risk management. As a basis to guide the parties to the formation of urban rail transit project risk condominium multi-state, and clear right parties in risk management, responsibilities and profit sharing, to improve risk management efficiency.Using cooperative game theory, and the establishment of cooperative game theory model, it finds the Shapley’s value to justify the risk of an optimized co-insurance system.
