With the increasingly fierce competition trends of the construction market, forced by the shrinking market reality of the traditional metallurgical construction industry, Shanghai MCC13began to seek construction market transformation to other industries relying on continuing the existing market business. Due to the inherent characteristics of assets, as well as many uncertain factors in the transformation conditions, the transaction costs in the transition process has increased considerably than the original market, and the transformation project profitability was extremely restricted. As the high degree of project operational characteristics of Shanghai MCC13and a source of corporate profits of the project, taking Shanghai MCC13for example, the starting point of this article was to analyze how to further reduce transaction costs, and improve corporate profitability of the enterprise.This paper made a general introduction on the theory of corporate management and domestic study on current condition of the project governance, and explained the relationship of corporate governance and project governance. Based on the analysis of Shanghai MCC13operational characteristics, organization, structure function, project governance processes and the status, the existing problems in the current project governance were found and summarized. Many suggestions for the improvement of the project governance problem were provided. Finally, the development trend of the enterprise was concluded in the project governance.The first chapter made a basic introduction to the background and significance of the topics. Based on the current situation of the corporate governance theory, shareholder theory, transaction cost theory, benefit theory, agency theory and the current domestic and international project governance theory, the second chapter described the effective support of the company’s project governance. From the practical situation of the company’s current projects, the third chapter listed the existing problems, and analyzed the shortcomings and deficiencies of the current project governance from two aspects of the organizational structure and function. Chapter4put forward many improvement recommendations on targeted problems from project governance perspective from the influencing factors in Chapter3. As the last chapter, many conclusions were drawn in Chapter5, and the prospects and revelation of the project governance in Shanghai MCC13future development were put forward.
