Overseas mergers and acquisitions are the main ways Chinese enterprises adopt in making outward foreign direct investment. This article aims to study petroleum enterprises’ overseas M & A issues.Petroleum, as a country’s strategic resource, plays an important role in its security and sustainable economic development. Our countries’ dependence on petroleum import is relatively large as petroleum production volume can not meet the consumption. So our country is in a weak position of petroleum acquisition and pricing power. Whether C hinese petroleum enterprises can conduct overseas M & A successfully has a significant influence on whether this situation can be changed. With the combination of theory study, empirical research and case study, on the basis of analyzing the overseas M & A status quo of petroleum enterprises, from the points of the host country, the home country and the enterprise itself, the article respectively studied their influences on Chinese petroleum enterprises overseas M & A. And mainly studies the influence factors of home country.The article, through establishing regression model, made an empirical study on home influential factors. The CNOOC’s successful acquisition of Nixon’s case in a particular domestic and foreign economic environment was chosen to be studied with both theoretical and practical research methods for the influence of the home country,host country and the enterprise itself in this article. In the end, the article put forward some advice and suggestions on oil enterprises’ future overseas M & A and internationalization. This study will provide some ideas for the internationalization of petroleum enterprises of our country.
