In the process of business development, m&a has become an important link, it is the enterprise develop the market, improve the ability of enterprise management, implement the key step of globalisation. With the continuous development of our economy, our country began by mergers and acquisitions domestic enterprise expansion and resource integration, at the same time, some enterprises begin to implement the strategy of "going out", to carry out cross-border m&a, in order to expand overseas markets, access to technology, integration of resources, and improve the efficiency of enterprise target.In recent years, the rapid economic development in our country, global rail transit equipment market grew under favorable conditions, rail transportation equipment manufacturing industry in China has been developing. By initially poor technical level and low production capacity of enterprises through continuous progress, became has certain competitive large enterprise growth, using a series of transnational merger and acquisition activity, get the key technology and core competitiveness, true to the way of globalization. Such as CSR corp.’s age ge and British Danny, semiconductor times m&a Delker new material company, CSR Beijing times m&a Germany E+M drilling technology co., LTD.,-was conducted again in2014times new material acquisition of Germany’s cross-border m&a, the globalization of CSR gradually clear, and each step has achieved good results. But on the other hand, because of the rail transportation equipment manufacturing industry is still in the early stages of transnational m&a, how to select targets and m&a performance is affected by the factors which are need to think seriously about.In view of the above problem, this paper analysis the relevant theories about m&a performance study, and then combed the abroad and the situation of the rail transportation equipment manufacturing industry development in our country, finally from the CSR of the cases of transnational mergers and acquisitions of listed companies, the era of new material and transnational merger and acquisition of the electrical age was analyzed, and the whole process from the enterprise profit ability, debt paying ability, operation ability, growth ability and EVA analysis of financial data of quantitative analysis, and according to the culture and personnel integration after enterprise m&a qualitative analysis to the enterprise of overseas mergers and acquisitions advice, hoping to rail transportation equipment manufacturing industry in our country enterprise merger and acquisition activity to provide more advice and help.
