Both reverse merger and IPO are the important ways for the companies which want to belisted companies. Due to the unique advantages of reverse merger, it becomes the preferredoption for the companies which want to be listed companies. The listed companies can runassets in the security markets, where the companies can raise new capital. The listedcompanies can broaden the development and avoid the risk of stopping to go public after thereverse merger. It cannot be denied that due to the securities market is advancing and the legalregulatory system is imperfect, the reverse merger leads to a series of problems. Thisdissertation analysis theoretical basis of reverse merger, introduces the background of reversemerger and puts forward practicable suggestions combining the real case of SANLIANCOMMERCE. This dissertation contains five parts.The first part is “The Analysis of Reverse Merger”.In this section, firstly the dissertationintroduces the case of the SANLIAN COMMERCE, digging behind the problems of reversemerger in our country, then the dissertation not only introduces the concept of reverse mergerand the resemble concept, but also analysis the advantages of the reverse merger andinterested parties of the reverse merger.The second part is "Current Situation and Problems of Reverse Merger in China". In thissection, this dissertation aims to study the problems of reverse merger on the four aspects ofthe listed companies, the acquirer of reverse merger, the government and the minorityshareholders of the listed company based on the current situation and problems of reversemerger in China. At the same time, this dissertation introduces reverse merger experience ofUSA and Hong Kong area respectively and brings about the revelation for our country.The third part is "The Suggestions of The Legal System of Reverse Merger in OurCountry". In this section, this dissertation puts forward the detailed suggestions ofestablishing the legal system of reverse merger in our country based on the five parts of thedissertation.
