Abstract:Independent director system as an effective means of perfect corporate governance structure is attracting more and more attention, and as an important element of the system, independent director incentive system has always been the focus of debate and the difficulties of institution building as it involves the positioning of special functions of the independent directors. Whether independent director system in corporate governance really play a role depends on whether the independent directors fulfill its duties effectively, and study the incentive system of independent directors can induce the independent directors fulfill their duties more diligently and earnestly, safeguard the interests of minority shareholders and oversee the business managements, enhance the board of directors’independence, improve the corporate governance structure. How to build a suitable incentive system for China has always been a question in the theoretical and practical circles of concern.
