The Research Of Company Secretary Of China

The company secretary has appeared in China for more than several years. Actually company secretary is not originated from China, U.K is the first country to regulate it in law, the aim of regulating the company secretary is just for improving those quoted company so that making sure their construction of companies accompanied the rules and regulations from other countries, The system of company secretary ranged from qualifications, responsibilities to rights. However, this system is defective:The position of company secretary position is not as high as the one in other western companies; the information disclosure failed to be performed well; the function of improving the level of management does not work perfectly. So, the author try to analyses the reasons of such problems, and then give some improving suggestions.The first part introduces the history of the company secretary in U.K. As the first country which regulate company secretary, U.K had processed three developing stages, after that, the regulations and laws of U.K regarding to company secretary getting improved.The second part introduces the reason why China decide to regulate such company secretary and the processing stages which China had made to improve company secretary,besides it also introduces the laws and regulations of company secretary in China including the process of elections,rights, responsibilities.The third part analyses those problems caused during the performance of laws and regulations regarding to company secretary, and then try to introduces why such problems is happened, after introduction of those reasons,we could understand how to solve such problems.The fourth part give suggestions about how to get improvement of the regulations and laws about company secretary, the suggestions is divided into two parts:the first part is solving problems of regarding to company secretary in macrovisually, the second part is solving problems of regarding to company secretary in microscopically; by this two means of solving problems, we could expect the good future of company secretary.
