The Theory Review System Of Independent Director’s Independence

The independence is the soul of the independent director system. Theindependent directors can keep independence, is related to whether the independentdirector system can play its normal functions. At present, scholars generally believedthat the independent directors of listed companies in our country most problems lackof independence, and gradually become a vase. However scholars are seldom awarethat the root cause led to the current our country independent director lackindependence is the single independence standard and the lack of system to perfectthe system of independent director’s independence. The independence of theindependent director has dynamic and the independence of dynamic logic deductivejudgment standard dynamic for independence. Independent judgment we need toestablish before his tenure qualification review mechanism. And since theindependence of judgment is more complex, need to review in two aspects, for theindependence of the listed company environmental assessment review, and for theindependence of the independent directors to judicial review. This paper tried to breakthrough a unified standard of independent director’s independence review andexamination mode, rebuild the dualistic examination standards and examination mode,hope is beneficial to the improvement of the system of independent directors.
