Research On The Franchise Contract

The establishment, improvement and perfection of franchise legal system, especiallythe relevant legislations regarding the franchise contract laid solid foundation for the rapiddevelopment of franchise worldwide. With the rapid development in China franchiseoperation, it is very necessary to strengthen research and study of the franchise contractrelated legal issues.This Article has seven parts.Part I introduction,describes the reasons for the proposed research questions andresearch purposes,the basic idea and structure proposed in this paper,based on currentresearch Comment.Part II outline of the franchise contract， Introduces the basic concepts and the basiccharacteristics of the franchise contract research and comparative law.Part III the cost of franchise contract,separately discusses the problem returning thefranchise fee and security deposit penalty when two competing aspects,so that putforward my views.Part IV fraud of franchise contract,a general discussion of fraud firstly,in practiceleads to a specific type of franchise fraud,and put forward legal response to fraud in thelast.Part V the contentious issues during the rescission of franchise contract,from thefranchise contract termination right legislation present situation and its deficiencies,represent the relationship about disclosure of information and unilateral right toterminate,and how should improve the unilateral right to terminate of the franchisee.Part VI franchise contract external shared responsibility，this paper describes thefranchisor of external tort liability of products and other external tort liability, and the other external tort on articles only not discussed carefully,at last propose risks of how toreduce the external franchisor of civil liability.Part VII conclusion, summarizes the basic conclusions and issues that need furtherstudy.
