On April 22,2011, under huge embarrassment and mountainous debt, the creditor(Products Sales Department of Tianlan Electromechanics, Tianshui 213 Electrical Appartus co.LTD.) made an application to the intermediate people’s court of Jiayuguan(hereinafter referred to as "Jiayuguan intermediate people’s court") for the debtor’s bankruptcy reorganization.The debtor,CNNC HUAYUAN Titanium Dioxide co., LTD. (hereinafter referred to as the "Nuclear Titanium Dioxide") received the orders from Jiayuguan intermediate people’s court on November 30,2011, which ruling to restructure the nuclear titanium dioxide..The detail of this case on nuclear titanium dioxide bankruptcy reorganization is introduced in the first part. This part is based on the announcement content of nuclear titanium dioxide. After the extraction and analysis of some relevant data, as the basis for subsequent content. Nuclear titanium dioxide as the first listed companies in gansu province which involved in the bankruptcy reorganization case drew much more attention in the less developed western region. It provides a good materia for the practical field about the bankruptcy reorganization.The second part is the during the process of nuclear titanium dioxide bankruptcy reorganization. In this part, the author mainly started from the disclosure issues, the investor voting mechanism and power conflict problems, interpreting some related legal problems in reforming practice. Through the analysis of the specific case, we will find out the common problems of listed companies, and put forward developing measures in the next section.The third part is the suggestions for improvement. nspired from the measures taken by the case, on the basis of this puts forward the improvement of public power, regulation of information disclosure and the protection of the investor’s rights and interests. Only in this way can we try to make some improvements to improve the efficiency of restructuring in bankruptcy reorganization and applying laws and regulations effectively. Ultimately, all these can guide the practice better.
