Legal Issues Of National Security Review On Merger And Acquisition By Foreign Investors

Currently, the economic globalization has brought a lot of opportunities and threats.With the globalization, the Merger&Aquisition attract people’s attention.It brings in capital and resources, as well as advanced management skills and high technology.However,it also threats the safety of the host country.Through M&A, the foreign companies enter the foreign markets quickly and make profits.Based on China’s current regulations and laws, this thesis studies on the National Security Review of Foreign Acquisition. It also analyzes famous and important cases in this field. Besides,it analyzes this system in foreign countries to make a competitive analysis. All in all, this thesis tries to make a conclusion of this system in China and offer some useful advice to improve it.This thesis stuties on the National Security Review of Foreign Acquisition in China and includs four main chapters.The introduction usus some relevant data to make a brief reiview of the curruent situation of the M&A in China and points out the importance of the system by improving the legislation.Chapter One,from a macro perspective,discusses the need to build a security review system,focusing on the definion of the important concepts and analyzing the foreign capital merger in China.This chapter provides an overview of the National Security Review of Foreign Acquisition in China in the legal aspects.Chapter Two introduces some successful systems about the National Security Review of Foreign Acquisition in the world and summarized these systems into two modes.The first mode set a special organization and has relevant laws.The second one doesn’t have special laws with the representatives of United Kingdom,and France,and Japan.Chapter Three and Four are the main parts of this essay.These two chapters focuses on the two latest rules,the State Department and the Commerce Department’s latest administrative rules and regulations and of our ongoing safety review system status to mergers in 2011,discuss the systems in our China deeply.Finally,it conclued the chareteristics and offered some meaningful suggestions.
