Research On Relevant Legal Issues Of Registration System Of Registered Capital Subscription

With the constant development of the economy and society in China, thecorresponding change in registered capital system of corporate takes place in China.In “Corporate Law” modified in2005, it introduces Installment payment system ofregistered capital. In “Corporate Law” modified in2013, it changes the foundationsystem of corporate basically and sets the registration system of registered capitalsubscription of corporate. The registration system of registered capital subscriptionof corporate is in favor of reducing the initial cost of investors and stimulatinginvestment activity. However, relevant legal regulations and supporting system havenot been completed, and thus the subscription system will bring about some newproblems in theory and practice for Corporate Law inevitably. This paper makestentative exploration for some problems about theory and practice of registrationsystem of registered capital subscription in our country by combining the theory ofCorporate Law in China and linking the practice of Corporate Law in China.Except for introduction and conclusion, this paper is divided into three parts andthey are respectively: Introduction to relevant background and knowledge ofregistration system of registered capital subscription, relevant law problems in thebackground of registration system of registered capital subscription andimprovement of relevant supporting system. Part one: the overview of registration system of registered capital subscription.It mainly introduces several concepts related to capital system of corporate,including capital, assets, registered capital and registration system of registeredcapital subscription and describes the concept and applicable scope of registrationsystem of registered capital subscription and its development and practice in China.Part two: relevant law problems in the background of registration system ofregistered capital subscription. This part mainly introduces subscription system andlimited liability, the relation between real capital verification and the capital,investment obligation and liability of shareholders, capital increase and decrease ofcorporate and protection of creditor of corporate.Part three: improvement of relevant supporting system of registration systemof registered capital subscription. It suggests establishing credit disclosing system ofcorporate, improving information disclosing level and proposes relevant suggestionsaimed at possible problems in law practice, such as the registered capital is too high,the period of investment is too long and the capital increase and decrease.The registration system of registered capital subscription is a new thing for the“Corporate Law” in China and it is involved in many aspects of problems, such ascorporate governance and protection of creditor. This paper just proposes someimmature opinions on the basis of existing research achievement and makes somepreliminary discussion. Because the occurrence of civil and commercial action isrelatively lagging, the content in this paper is just the prospects and guess for thethings that have not happened. The author wants to make further research on it tomake contribution to the improvement of registration system of registered capitalsubscription in China.
