A Research On The Inspection Right Of The Shareholders Of A Limited Liability Company

Although by the Company Law of the People’s Republic of China the shareholders of a limited liability company (LLC) are entitled the shareholders’ inspection right to inspect company’s information material such as reports, books and records, due to its unclear legislation or its grey area, it is less applicable. That it is in debate has put the Company, the shareholders, the scholars, and the judges in a difficult dilemma.The scope of this research report will be an in depth analysis of shareholders’ inspection right, covering its attributes, agents, objects, and limitation. Firstly, I will be beginning with the overviews of their current status in China; Secondly, I will be using four cases to demonstrate and analyze the different legal difficulties in each instance; Thirdly, I will be examining their situation in the overseas; Finally, I will be offering my point of view towards ending up those difficulties and dilemma, such as to enforce this right, to clarify its sub-rights, and to clear up its agents as well as its objects.
