The Study Of Optimization Of The Commercial Registration System Of Shenzhen City

Commercial registration system is part of important content of the national or regional commercial law system with the important role of promoting the development of society and growth of economy healthily, steadily, orderly, protecting the security of commercial transactions, and securing the lawful rights and legitimate interests of commercial subjects and the interested parties. Shenzhen City as an important experimental zone of the reform of the national commercial registration system, is prior to carry and try many new reformatory measures, dares to explore, and achieves fruitful results expected which are mainly reflected in seven aspects, such as the implementation of the separate registration of subject qualification and operati onal qualification, and so on.Although obtaining delectable results after reform, the commercial registration system of Shenzhen City exposes some shortcomings in practice gradually, such as the shortcomings of registered objects and registered items and so on. With research, it could be found that there are two reasons for the shortcomings and one is about government administrative ability in dynamic management level, and the other about the transformation of government functions and the construction of service-oriented government in static function level.After locating the reasons, different problems must have different solutions, therefore the paper brings forward several optimized strategies purposeful, for instance, in terms of registered objects, it is advised to cancel the registration of the body type of individually-owned business households, to put part of civilian-run non-enterprise units and all of civilian-run law firms into commercial registration, to change some kinds of registrations from “operating permits first and then business licenses ” to “business licenses first and then operating permit”. This paper tries to form the system of scientific and reasonable optimization measures which both are rooted in the actual situation of Shenzhen City and conform with international commercial practices. Among the system are some measures about the specific content itself and others about the construction and improvement of the fields of the related reformation. Besides, among the system are some ones about the object level of the system itself, others about the subject level of team construction of registration personnel.It is of benefit that propositions of the comprehensive and systemic optimization measures to constant deepening and development of the reform of the commercial registration system of Shenzhen City, to providing valuable inspiration and reference and experience for the construction of commercial registration system in Guangdong Province even across the country in the near future, to promoting the economic growth and social development of Shenzhen City, especially the commercial prosperity of Shenzhen City.
