Research On Legal Issues And Countermeasures Of Shareholder Capital Contribution

Company capital production as an important system of the company law, is the core content of the company law, which runs through the establishment of the company, the existence and termination of all stages. The problem of shareholder’s capital contribution is the basis and core of the capital system of the entire firm. In the world, there are three kinds of corporate capital system, legal capital system, authorized capital system and compromise capital system.Our country in 1993, the company law provides the capital, capital maintenance and capital unchanged three principles, strict statutory capital system, the company law in 2005 adopted a more flexible statutory capital system, in December 2013 once again to modify the company law, the statutory capital system has been a major change in the implementation of the company’s capital system, the biggest bright spot is the registered capital subscribed system reform. As a result, China’s current shareholders’ investment requirements, specifications also appear new changes. But in view of the implementation of the new company law, the relevant laws and regulations are not perfect, the theory and practice operation is not mature, therefore, the new company law of the capital system to recognize the existence of many errors, leading to the existence of a large number of non-standard behavior in practice, the problem of investment in the east also exist to understand and operate. To this end, this paper attempts to analyze the capital system of our country’s new company law, and then make a deep analysis of the contribution obligation of shareholders.
