The Research On The Mechanism Of The Limited Liability Company’s Deadlock Disposal

At present, the China’s current mainstream to due with the company deadlock is still the judicial dissolution measure. It is highly cost and highly destructive, which usual results in the compulsory dissolution and the damage to the interests of the shareholders. So that, it is important to explore a benign mechanism which can deal with the deadlock problem of the limited liability company deadlock perfectly, and the intention of this paper is also depending on this.In this paper, the first chapter is the introduction part, it expounds the topics of this paper and summarizes the landscape. The second chapter focuses on the limitations of deadlock disposal mechanism at present. In the third chapter, this article explores the legal norms, especially the mature settlement mechanism from the Common Law System to summarize the experience and analyze the "localization" of this part. The fourth chapter will summarize the various parts above and base a true case to explore a perfect company deadlock disposal mechanism which can maintain the company. At last the fifth chapter will make a summary.In this paper, towards the company deadlock problem, compared to make a simple theoretical analysis of corporate deadlock disposal, it will pay more attention to make a concrete analysis of the true examples, and put forward the practical solution. I hope this paper can provide some considerations for this aspect of the study.
