On January1,2007, the “Accounting Standards for Business Enterprises No.11-Share-based payment " began to be carried out within the range of listed companies inChina so it played a better unified normative role in a share-based paymenttransactions of listed companies involved. However, through five or six years’implementation of the guidelines, It is not optimistic about the implementation of theshare-based payment criteria in China’s small and medium enterprises IPO process,which has difficulty in enforcement. Based on the present situation and problems, thisthesis will take SMEs who listed successfully in IPO in the last two years forexample, and analyzed about involved in the first three years of its listed shares paidspecific circumstances and deal with the situation analysis. SMEs in China listedcommonly used special equity incentives,“the controlling shareholders transfer partof the shares cheaply to incentive target "and" incentive target price to the capitalincrease "in two ways, From the definition and characteristics of share-based payment,with the current domestic and international research in the theory of share-basedpayment, people analyzed and defined whether these equity incentives and theirspecific situation belong to the scope of share-based payments, analyzed anddiscussed about the accounting measurement attributes of share-based payment--fairvalue measurement standards, in the same time, according to different equityincentive, made the confirmation of research and analysis about share-based paymentcosts and put forward the application of countermeasures and suggestions.To some extent, this study make up for the shortcomings of the existingshare-based payment criteria in the specification simpler or more fuzzy and difficultin meeting the guidance of SMEs in China IPO practices defects in the application; Atthe same time, the introduction of non-relevant regulatory authorities in the countriesshares of the listed company’s shares before payment implementation rules orguidelines, I hope to provide some guidance or reference for payment transactions inthe accounting practices of the unlisted shares of the company’s shares.
