Research On Stakeholders-oriented Internal Control Evaluation About Securities Companies

This thesis is to apply the theory of stakeholders-oriented internal control evaluation tosecurities companies and try to provide some thoughts and ideas about how to evaluate internalcontrol about securities companies based on stakeholders and construct a set ofstakeholders-oriented internal control evaluation system about securities companies by utilizingthe theory of stakeholders-oriented internal control evaluation and hope to resolve someproblems that have existed in the internal control system of securities companies and make theinternal control evaluation play a better role in the internal control system of securitiescompanies.This paper mainly uses the research method of the application study of theories combined withinvestigation analysis and case study. Firstly, it emphasizes on the research ideas of the theoryof stakeholders-oriented internal control evaluation based on summarizing the main researchresults of internal control evaluation around the world. Then it illustrates the problems existedin securities companies about internal control evaluation by investigation analysis and casestudy and plays an emphasis on the necessity of conducting internal control evaluation based onstakeholders’views and the characteristics of stakeholders-oriented internal control evaluation.Subsequently, the author provides some thoughts and ideas about how to conductstakeholders-oriented internal control evaluation system beginning with stakeholders analysisof securities companies according to research ideas of the theory of stakeholders-orientedinternal control evaluation. Finally, this article briefly states some supporting measures thatshould be made in the process of conducting stakeholders-oriented internal control evaluationof securities companies.Through this research, some problems have been found in terms of internal control evaluationabout securities companies of China, such as less emphasis on internal control evaluation, less number of evaluation subjects, less evaluation extents and contents, lack of more effectiveevaluation criteria, indicators and results, nearly ineffective evaluation report, limited role ofexternal assurance institutions, soundless guidelines of relevant information disclosures, lack ofmore effective regulations and so on. This essay thinks main stakeholders of securitiescompanies include shareholders, senior management, middle management and staff, creditorsand government and secondary stakeholders comprises of some non-profit driven organizationsabout securities services, securities regulatory institutions, customers, debtors, investees,external audit institutions and potential investors and deems that stakeholders-oriented internalcontrol evaluation about securities companies has many features such as more evaluationsubjects, larger evaluation contents, more scientific evaluation indicators, more objectiveevaluation results and so on compared with traditional internal control evaluation. Subsequently,this dissertation advises the stakeholders-oriented internal control evaluation system should beconducted at least in terms of evaluation objectives, evaluation principles, evaluation subjects,evaluation extents, evaluation indicators, evaluation methods, evaluation inclusions andevaluation report and recommends many specific construction ideas about each aspect ofevaluation. Finally, this thesis suggests some supporting measures to make sure thestakeholders-oriented internal control evaluation of securities companies could be conductedeffectively, such as sound internal control evaluation organization system, better internalaccounting treatments system and perfect information disclosures system and so on.
