Research On Risk Identification And Control Of M&A Based On Financial Management View

M&A (Merger and Acquisition) as an economic and social phenomenon has appeared on over100years of human history. Have a review of the world capital market development and the global socio-economic changes M&A has played an irreplaceable role, however, historical evidences suggest that the presence of a huge merger project risk. Because of the high-risk of M&A always lots of potential sources of risk, which causes us to think about how to identify, control and management the risk of M&A. M&A is a kind of investment behavior, but also a kind of finance management behavior which causes the risk of M&A expressed financial losses.In this paper, based on the finance management review, we study on the risk management of the M&A projects. Firstly, this paper researched on the theory of the project risk management and the behavior motivation of M&A. Secondly, this paper analyze the risk characteristics of the M&A projects. Thirdly, this paper build risk identification index system, quantitative criteria and evaluation model of the M&A projects.In the end, this paper did an application research on a large group enterprise and made the M&A projects risk control strategies through traceability analysis.This paper applied the quantity scientific thinking into risk management of the M&A projects, especially the risk identification index and the evaluation model, which innovative the M&A projects risk management methods and techniques.This paper analyzes the risk characteristics of M&A, design indexes system of M&A, build the evaluation model of the M&A risk and made the whole process of systematic strategy of the M&A projects, combined with the application of specific case studies. This paper provides specific daily practice reference of the M&A risk management.
