Since the reform and opening up, the21st century is the age that comprehensivenational power competes with talents with talent full-quality. China is in the transitionperiod of human resource country to a powerful country of human capital, Enterprise’scompetition essence is the competition of enterprise human capital, strengthening theresearch on incentive mechanism of human capital in enterprises to improve businessperformance and enhance the core competitiveness of enterprises has important theoreticaland practical guiding significance.And the key problems of human resource managementresearch is also lies in the enterprise how to use optimal management system of the salaryincentive and retain the talents needed for shaping the core competitiveness ofenterprises.Right now the heyday of listed companies.we can not treat the originalstate-owned enterprises that set incentives for human capital is also used in the body oflisted companies.Enterprises are to be listed as a public company listed on the enterprise isbecause a better financing platform,the company has made the stock market to raise fundsthrough the listing of the opportunity.It is also because the listed so more enterprisesincentive system of the stock based incentive system for listing Corporation incentiveeffect will be bigger, stronger.This article focuses on the incentive system from equity incentive system perspectiveof the incentive system impact on listed companies,and how to construct a suitable optionincentive plan listed company research.Finally, an instance of a listed company todemonstrate the constructed option incentive plan would have an effect on corporateperformance improving.This paper is divided into six parts:The first part is an introduction,this section is mainly based on topics to write,research significance, a brief description of this background and significance of the topic,describes the purpose, content and methods.The second part is the theory of incentive systems review.The third part is the literature review, mainly introduced the research, about thehuman capital research incentive mechanism.The fourth part puts forward the question, mainly discusses the enterprise humancapital incentive mechanism problem.The fifth part is analyzed for a listing Corporation, first introduced the listingCorporation’s background, motivation of the company and the meaning of the equity incentive plan design based on the company’s stock option analysis.The sixth part is studied for a listing Corporation.The seventh part is conclusions and policy recommendations, the added optionincentive for listing Corporation incentive to be imperative, and joined the option incentivemechanism can strengthen the reputation incentive effect on the other hand, but also solvethe salary incentive system and the stock option incentive system is proposed, andcalculation formula for the distribution agent index and option is given, finally proposes toimprove the incentive mechanism, reputation incentive mechanism and establish a set ofperfect system of occupation development.
