The Research Of China’s Enterprises Patent Risk Control Of Overseas M&A

With the implementation of economic globalization and the "Overseas" strategy, Chinese enterprises have accelerated the internationalization. As a significant resource to seize competitive advantage, patent has become an important objective in China’s enterprises carry out overseas mergers and acquisitions activity. However, overseas M&A involving patent is a very complex and risky process, even large multinational companies also have made significant mistakes. Accurate screening and control management for the patent risk of Chinese enterprises overseas M&A activity will help to protect their own interests, and will effectively achieve patent transfer and value creation.This paper uses literature review, patent analysis, case studies, qualitative analysis combined with quantitative analysis and other research methods. Research rely on the current development of Chinese enterprises patent risk management characteristics and existing theories of overseas M&A, while analyze and learn from cross-border M&A case basing patent risk; from the stage of cross-border M&A, patent risk factors of M&A are generalize; based on overseas M&A patent risk factors, the risk assessment system is constructed, and patent risk control strategies are proposed; through in-depth analysis of typical case of M&A about patent, the experience of Chinese enterprises patent risk control of overseas M&A is summarized; based on patent M&A process and Professor Porter’s value chain theory, patents risk management measures of overseas M&A is constructed.In this paper, based on the aspect of patent the M&A risk factors is explained, which provides a new perspective for the integration process research, and also provides the theoretical basis and practical significance for international cooperation of Chinese enterprises.
