Shanghai Equity Exchange Center (SEEC) is an OTC market platformoperating from February2012. Permitted by the Shanghai municipalgovernment, the construction of SEEC is an important measure of Shanghaito implement the national strategy of building and perfecting the multi-levelcapital market of China. As the OTC market of Shanghai, the internationalfinance center of China, SEEC has been placed high hopes on its roll inhelping the SMEs to solve financing problems, supporting the real economyand innovation development.This paper started with drawing lessons from the development of majorOTC markets both domestic and abroad and introduced the overalldevelopment of the OTC market in China. After analyzing the operation ofSEEC, the paper found out the development bottle neck in SEEC’s operation.Then the paper summed up the positive cycle among the three marketparticipants including SMEs, investors and finance service institutions by using Porter’s five forces model, and found out its opportunities and threatens,strengths and weakness by applying the SWOT model. In the last part, thispaper came to the conclusion that SEEC should focus not only on thedemands of SMEs, but also build up the positive cycle of the marketparticipants and a comprehensive finance market oriented by customersdemands. The suggestion is that SEEC applies a growth strategy and takesefforts in three aspects: promotes its function by system and productsinnovation, enlarges its scope by marketing and strengthening thecooperation with other OTC market participants, and speeds up in building ateam of talented people to promote its innovation ability and service quality.
