Pharmacy is a indispensable and special industry in social development, which plays a important role in the state-owned economy. Thus, it is a good way to do asset restructuring, including emerging and purchasing, in order to improve the pharmaceutical development and competitiveness. In a sense, asset restructuring is a necessary phase in the growth and systematical change of the industry.The dissertation makes research on financial performance of asset restructuring in the industry based on Shanghai Pharmaceutical Group Corporation. Firstly, the paper is to introduce the basic theory of performance research. Secondly, the paper is to describe basic information about Shanghai Pharmaceutical Group Corporation. Thirdly, the paper is mainly to analyze and evaluate the restructuring performance of Shanghai Pharmaceutical Group Corporation by using the event-research, financial indicators’ analysis, and comparative analysis exemplyfied by the company’s asset restructuring and accordingly the relevant theory of asset restructuring in listed companies. The conclusion drawn from the research is the restructuring exert some positive influence on the company’s financial performance, but totally speaking, the performance grows in some aspects. Finally, the paper is to analyze the performance and find any problems, finally put up with some suggestions for further development of Shanghai Pharmaceutical Group Corporation by dealing the relevant data.The paper argues that the restructuring is significant for the development of pharmaceutical industry by the case of research, on the one hand, it can promote the value of investment; on the other hand, it is conducive to improve resources integration.
