The Board Governance Of Company In Small Plate And Company Performance Research

In the modern company organizational structure,the property rights separated from the rights of management have caused the confliction between company executive and shareholders,which has attracted the attention of researchers. As an important part of the management,market and internal control system can reduce the cost of the agency problem.In the internal control system,the board has double identity that to the shareholders they are agent and to the operators they are client, which is the core of company management. The quality of board governance can determine how the board running and affects the performance of company. Scholar all over the world have made plenty of research on how the board governance can affect the performance of company, but they almost concern the listed corporation in the main board not the listed company in the small board. The most listed company in the small board in the life cycle of growing period have a good future in growth and profitability. Owing to our government pay more attention on Innovation and Independent research,the listed company get the gold opportunity to development. So it is great meaning to study how the board governance affects the performance of company.The article consists of six parts. The part one introduces the research background, research significance, research situation and the basic concept definition. The part four we give the assume by the data from the listed company in the small board from 2009 to 2013. The part five was analyzed and explained. The part six according to the results we give some suggestions.
