Recent years, exposure of listed companies’ financial fraud draw attention to the quali ty of accounting information.In these cases,the rationality of punishment on registered accountants and accounting firm became the focus of legal and accounting communi ty. Attach importance to administrative responsibility and despise civil responsibility can be found in many typical cases,this situation neither good for the protection of invest or’s interest,nor the heathly development of registered accountants industry.Because th e inherent limitation of auditing,it is impossible for registered accountants to find out allmistakes in financial report.Simply increase registered accountants’ s responsibility may influence their independence,but regardless of civil responsibility will not help to threaten fraud,considering those factors,this thesis will based on the theory of registe red accountants civil responsibility,according to the analysis and conclusion of case.thr ough give some reasonable advises to help solve the problem. The thesis includes fo ur parts:The first part introduce the research background and meaning, domestic and foreign r esearch review based on domestic situation about civil responsibility,research on regist ered accountants’ s civil responsibility have positive significance for security market an d registered accountants industry.The second part introduce theoretical basis of civil responsibility, including the definit ion of professional liability, nature of responsibility, doctrine of liability fixation.The third part is case analysis,this part will take fraud of Wan Fu as example,first int roduce the case, then analysis the legality of punishment,through financial analysis,co nsidering the accounting firm acted with gross negligence,the judge was lawful but n ot reasonable.This part discussed the reason of this situation,and give some advice,suc h as:improve laws and regulations, popularize limited partnership liability accountant f irm, improve audit quality, strengthen registered accountants’ s awareness of risk,enhan ce professional ethics construction,change investor’s investment philosophy and so on.The forth part is summary and outlook,include the main conclusions and limintations,it also introduce some unsolved problems.
