Study On Corporate Governance’s Influence Of Thecompanies Listed On The SME Board To Effectiveness Of Internal Control

At the same time,it has also lay an important foundation for the multi-level capital market construction..Small and medium-sized board enterprise’s(hereinafter referred to as SME board listed companies) high quality of operation brings generous returns for investors,dissolves the risk of investment,and leads to the development of regional economy,to maintain the stability of the capital market. Improving the quality of the company,strengthening internal control and ensuring the effective operation of internal control is one of the important measures for small plates taking. And improving the corporate governance structure is the basis and premise of effective internal control。Therefore,the research of this article choosing from the perspective of corporate governance in our country small and medium-sized board enterprise board’ internal control effectiveness,in order to find out the influence on the effectiveness of internal control of corporate governance factors,and the influence of these factors on the effective internal control, and to put forward to improve the small and medium-sized enterprise board internal control effectiveness of the proposal. This is of great significance for improving the management quality of small and medium-sized board enterprise and the construction of the multi-level capital market..In this paper,on the basis of the existing academic research experience,combined with related theory,according to the characteristics of small and medium-sized board enterprise governance,the corporate governance factors can be divided into ownership concentration, the board will scale,supervisors will scale,the chairman also serves as general manager. Using the data of small and medium-sized enterprise board in 2009 and 2013,Through the empirical analysis results are as follows: ownership concentration, the board will scale, supervisors will scale have a significant impact on the effectiveness of internal control,and the impacts of the chairman also serves as general manager on the effectiveness of internal control is not significant.Main innovation point of this article is: the current study involved in the literature for small and medium-sized board enterprise internal control effectiveness research is relatively small, the study of small and medium-sized board more concentrated in the small and medium-sized board IP0 underpricing, small and medium-sized board enterprise for information disclosure, the comparison of the small and medium-sized board and the gem, the growth of small and medium-sized board enterprise,etc. Therefore,based on the small and medium-sized board enterprise as the research object,the study of the characteristics of small and medium-sized board enterprise governance and the influence of these features to its internal control effectiveness,and from the perspective of corporate governance put forward countermeasures and suggestions for improving the effectiveness of internal control of small and medium-sized board enterprise,in order to provide the valuable reference and reference for raising the level of small and medium-sized enterprise internal control.
