Research On Stock Option Incentive Plan Of Luzhoulaojiao

Stock option incentive plan is a way to manage company’s core staff, which is regarded as a powerful tool to solve the agent problem. Stock option incentive plan develops slowly in china, whether the Stock option incentive plan is good for China’s listing Corporation or not, how to implement the plan are the problems should be thought and solved.The thesis adopts the research method of case analysis, using stock option incentive theory to analyze the Luzhou Lao Jiao case through the comparative analysis of the difference between the two plans, the writer analysis the problems of the second plan and put forward some measures, finally, based on the case analysis the writer find out some macro factors which contributes to the problem and some inspiration.Through the analysis of the Luzhou Lao Jiao stock option incentive plan, the main conclusions of this thesis are: firstly, China’s macro environment is not mature and there are still some defects in the structure of corporation; secondly, because of the different industry scale, development stage, different plans will have different incentive effects. Therefore, enterprises should design their own stock option incentive plan. Finally, different departments of the government should work together to guarantee the development of stock option incentive plan.The main feature of this thesis is: as the development of Stock option incentive plan is relatively slow in china, so the writer focuses on the analysis of the problems and the corresponding improvement measures by choosing a listing Corporation and using the method of case analysis.
