Writing ideas in this paper is to combine an equity nature(background)-ST Company (motivation)-Asset Restructuring (means)-performance (effect) toanalyze the reasons for the failure of the company, motivation and mode about asset restructuring,as well as effect of asset restructuring after running. aimed to reflect whether BHC corporation ornot made a substantial improvement through performance, To evaluate the short and long termperformance through asset reorganization under government intervention is substantialimprovement in the company’s situation, as well as evaluation of prospects, status and strategy forBHC company development.Brief analysis concluded that the main reason for the failure of BHC operating businesses isthat the main business is not prominent, strategic goals are not clear, and Weak competitiveness;When faced with financial difficulties as traditional industries, through asset restructuring can bedone to change the main industry in order to improve business performance; Listed company as ascarcity of "Shell", the local government enterprises are facing difficulties at the time, played a"supporting hand" role major shareholder; Another long-term performance through comparativeanalysis of the short BHC company after the reorganization of assets to achieve substantivechange, but the combination of the company’s own internal operations situation, it easily affectedby external environment.
