Cooperate Governance And Optimization Strategies For The Provincial Enterprises In Henan

State-owned enterprises play an important role in economic society development of Henan. According to the relevant statistical data, there are4062local state-owned enterprises by the end of2013.State-owned and state-holding enterprises cumulative revenue constitutes approximately60%of the total revenue in Henan, in which there are1711province-ran enterprises. Their percentage in the total state-owned is about42.1%, assets account for about43.4%. They are the typical of state-owned enterprises in Henan. Modern enterprise management and government structure have been taking shape initially after multi-stage reform. However it is far from the demand of market economy, for example, the strongly administrative color, unreasonable share-holder’s structure, imperfect economic stimulus-balance mechanism,etc. These difficulties have been restricting the further development of province-ran enterprises in Henan.This thesis studied the optimization strategies of enterprise management which based on corporate governance theory and draw lessons form successful practices home-and-abroad. Firstly, we discussed the outstanding issues in enterprise management by analyzing the enterprises reform and current situation, which on the basis of introducing enterprises profiles. Secondly,we analyzed the internal governance management by taking the form of referring data, questionnaire survey, spot interview,etc. Which includes share-holder’s structure, board governance, operator’s stimulus-balance mechanism. Thirdly, we analyzed the external governance management in terms of institutional environment, regulatory system and stakeholders, which unifies the background of new SOE reform and the preferential policy to mixed economy. Finally, we make some reasonable suggestions and strategies on optimization with the combination of Henan province-ran enterprises practical management.The features and innovation points of this paper:①The analysis of province-ran enterprises shareholding structure,board governance,current stimulus-balance mechanism by taking the form of referring data, questionnaire survey, spot interview,etc.②The analysis of province-ran enterprises external governance management in terms of institutional environment, regulatory system and stakeholders with enterprises deeply reforming.③The comprehensive analysis:this paper make make some reasonable suggestions and strategies from institution perspective and enterprise own.This paper not only gives Henan province-ran enterprises optimizing strategy, it provides theoretical basis and analysis way for other districts.
