With China’s rapid economic development, Economic demand for steel is growing wider.In these enterprises varies greatly, the quality varies greatly; this causes a lot of low-level redundant construction. Iron and steel enterprises in China overall industrial concentration is no high, serious waste of resources, which seriously affected China’s economic development. The steel industry due to the long-term accumulation of extensive development have become increasingly prominent, affecting the ability of independent innovation of China’s steel industry, and resulting in unreasonable industrial layout, also affected the industry goal of China’s enterprises bigger and stronger, making the international competitiveness of Chinese enterprises weak. So that there is no right to speak, in the international iron or e bargaining power while significantly reducing the profitability of the steel industry.In this paper, using the theory and case, from the theory of mergers and acquisitio ns of start, discusses the domestic and foreign iron and steel enterprises mergers and acq uisitions restructuring mode and mode differences, through the combination of case, co mprehensive use of merger and acquisition related theories, the analysis of the merger a nd reorganization of the Hebei Iron and Steel Group related, finally obtains the suitable for China’s steel industry merger and reorganization mode-regional mergers and acquis itions. The specific contents are as follows:firstly, the research background and signific ance, then reviews the merger and acquisition mode theory; third, analysis of mergers a nd acquisitions of domestic and foreign modes and differences, and pointed out that at t he present stage of China’s iron and steel enterprises facing problems; fourth, Hebei iron and Steel Group for mergers and acquisitions an example, a comprehensive analysis of the history, Hebei iron and Steel Group merger and reorganization, restructuring mode a nd objective reasons, the effect of the reorganization, and summarize the advantages of summing up the regional merger and reorganization mode embodied in the process of m ergers and acquisitions and deficiencies, combined with the current situation of China’s i ron and steel enterprises restructuring mergers and acquisitions and mergers and acquisi tions theory, that the regional the integration of this model in China’s iron and steel ente rprises mergers and acquisitions is more appropriate, and also has certain reference signi ficance to other enterprises.
