Research On The Internal Control Information Disdosure Of Chinese Military Listed Companies-Based On The Analysis Of G Company

It is acknowledged that the financial information is the main basis for the decision-making of investors, and the quality of the financial information directly affects the effect of investment. Whereas the internal control information is the crucial symbol for evaluating the efficiency of company management. However, with the frequent exposure of financial fraud both at home and abroad, the quality of the financial information effectiveness are not to be trust. Moreover, the effectiveness of internal control and the disclosure of the internal control information are met with much skepticism. The disclosure of internal control information becomes a major issue in the academic research. As the typical representative of Science and Technology Industry for National Defense, the military listed companies have integrated the government will and private capital, the national demands and company development, by means of seeking better exploitation in the capital market. The companies that are charged with the task of defense research and production have their particularity in mechanism, organization structure, management mode, competitive mechanism and the capability to resist risks. They highlight the national defense but neglect the market attribute of military companies, weak in corporate governance and internal control, especially cautious in information disclosure. The content that these companies disclose is insufficient, according to which the investors are not available to access the adequate information, causing the failure of decision-making. Consequently, it is of practical significance and academic value for the survival and development of military listed companies, whose disclosure of internal control information should be studied.This thesis which takes the disclosure of internal control information of our military listed companies as the object employs the method of normative research as well as the case study. And also this thesis takes the research results and practical experience of the disclosure of internal control information both at home and abroad for reference. According to the disclosure situation of internal control information of military listed companies in 2012 and 2013, this thesis take G-company as an example to make an in-depth analysis for the hope of revealing the existing problems of the disclosure of internal control information of our military listed companies. And also several corresponding improvements and suggestions are presented as supplementary. This thesis consists of six parts. The first part is introduction which presents the background, significance, frame structure and the main contribution. The second part discusses the overview of the disclosure of the internal control information, the analysis of the fundamental theories and the review of research both at home and abroad. The third part introduces the status quo of the disclosure of internal control information of military listed companies. And take G-company as an example, this thesis make a contrastive analysis of the disclosure of the internal control information for nearly three years in terms of elements of internal control and the disclosure of internal control audit so as to make an evaluation of the disclosure of the internal control information. Based on the case study, the fourth part makes an analysis of the drawbacks of the disclosure of the internal control information of our military listed companies. The fifth part proposes several suggestions according to the status quo and disadvantages of the disclosure of internal control information. The last part includes the conclusion as well as the enlightenments.
