At last find out the cause of the development of the commercial banks by comprehensively summarized and classified. On the basis of conclusion to analysis after the foreign investors come to China, what countermeasures do the commercial banks think out? Including legal risk management system、change of the law and so on and ultimately to explore the impact of foreign bank entry China banking industry and countermeasures.The main conclusion of the paper is after the recent years of development, the management, the risk control level, the corporate governance structure of the city commercial banks have made a considerable development.By many previous studies on the basis of the structure,this paper discusses the root development of the city commercial banks in our country, it is concluded that the introducing of foreign investors can improve the comprehensive management ability of the city commercial banks,and based on this conclusion put forward the preventive measures against the city commercial banks in China.
