Study Of The Merger And Acquisition Of Viet Nam Commercial Banks

In Vietnam, bank mergers and acquisitions began to sprout from the 90’s, which has been developing to the present.Under the background of the global financial crisis and economic recession, bank mergers and acquisitions have become the trend of the times, at the same time it also brought a lot of bank M&A opportunities and challenges. In order to survive and develop in this competitive environment, Vietnam commercial banks need to improve competitiveness through mergers and acquisitions.Otherwise, in the near future it will inevitably collapse or be acquired. M&A has become a common phenomenon and attracted many scholars to study.However, most researchers only focused on the analysis of two or several bank mergers and acquisitions between before and after, analysis of the entire banking industry M&A problem less.Therefore, this thesis on the study of the entire Vietnam commercial bank system, analysis of their related problems in M&A activity, focusing on the evaluation of mergers and acquisitions performance and value.This thesis studies on the basic theory of bank mergers and bank acquisitions motivation and value creation,and learn from Chinese experience in banking and some developing countries in the world on the success of mergers and acquisitions..In addition, the author also research some of the world’s commercial banks in developing countries and Vietnam similar bank merger and acquisition activities, so as to draw lessons these banks in the development of Vietnam Bank. This thesis first studies the actual condition of the Vietnam banking business activities, and then further study the Vietnam bank current situation of M&A, including motivation for mergers and acquisitions, mergers and acquisitions of the legal basis and bank M&A activity asset valuation, the current situation.Through the analysis of the M&A activity on the number of mergers and acquisitions and the volume of transactions in the development, in order to identify the Bank of Vietnam in mergers and acquisitions obtained results and existing problems. Finally, this thesis puts forward suggestions on the management level of commercial banks, hoping to enhance the effect of M&A activities.
