Revelation And Problems Existing In The Chinese Banks’ Oversea Mergers And Acquisitions Based On The Comparative Case Analysis

With the reform and development of the domestic capital market, our country banking industry competition is becoming increasingly fierce, at the same time, along with the deepening of China’s opening and the advance of economic globalization, also makes our country banking industry is facing many new opportunities and challenges. In order to better serve the growing number of foreign trade and investment in our country, to improve its business scope and ability, develop new market space, makes the current our country banking industry faces a broaden the huge demand in overseas markets, overseas mergers and acquisitions also became the most Chinese Banks the best way to achieve its overseas strategy. However, due to our country banking industry between the European and American countries banking development level still have a large gap, therefore in the process of cross-border m&a of banking business will inevitably have a lot of insufficient shortcomings which cause huge loss of bank management. Based on the above background, this paper selected the China Minsheng Bank m&a American United Bank and China Merchants Bank m&ahe Winglung Bank in Hong Kong, this paper compares and analyzes two cases with microscopic visual Angle, to study the problems in the overseas mergers and acquisitions in China’s banking industry, and the resulting revelation.This paper is divided into three levels. Firstly, put forward questions, and through analyze the research background to obtain the studies meaning of this paper, then according the study in this field both domestic and abroad to expound the research methods and theoretical basis. Second is to analyze the problem, this is also the main part of the full text. This part will introduced from banking cross-border m&a process to the conditions, motivations and characteristics of Chinese Banks’ overseas m&a, then respectively study Minsheng bank and Merchants bank cases, according to the time sequence by the m&a motives to m&a process then to the m&a result gradually thorough, finally use the event study to analysis two cases and draw the conclusion. Ultimately solve the problem, based on the above case studies, combined with the overall situation of overseas m&a of Chinese banking, summarize the problems existing in the overseas mergers and acquisitions in China’s banking industry consequently obtains the corresponding Suggestions, for the long-term development of overseas mergers and acquisitions in China’s banking industry.
