November 7, 2011, a 100% equity of Jahwa Group Company is Obtained by Shanghai Ping Pu Investment Company though bidding, which is part of Ping An Trust’s Innovation Capital, a wholly owned subsidiary. China Ping An has become the new controlling shareholder of Jahwa Group Company, as also the largest shareholder of Jahwa. However, a year after entered Jahwa, Ping An, the actual controller of largest shareholder struggle between Jahwa management each other. The infighting gradually openness and rising, and the capital side with corporate management contradictions and conflicts outbreak again, causing people to think and discuss control of the contention.This paper adopts the method of case study, on the basis of the review of the relevant literature, in the race for control between Ping An and Jahwa as the research object. By describing and analyzing both Motives, M & A process and results, clearing reason of successful China Ping An acquisition Jahwa, and be able to be the premise of competing for control; by describing both compete for control of the process, and analyzing impact on corporate value, the number of shareholders and the company’s performance,to explore the company’s "strategic investors introduced", "board of directors changes", “ownership structure” and entrepreneur’s “social capital" to control for the role and impact.Finally, in view of the case to explore the results, clearly in the process of restructuring state-owned enterprises, the enterprise should be careful to choose acquisition capital, after the introduction of capital, to ensure that the interests of the shareholders and the board of directors balance and coordination, and also emphasize the founder of appropriate power protection and optimizing the company’s equity structure, to control for the problem to nip in the bud.
