How to improve enterprise performance is a problem that the enterprise has been facing. In the fierce market competition, talent is the most valuable resources. What kind of effective incentive mechanism to attract and retain key personnel is an urgent problem. Since 2006,the state has promulgated many new laws about the stock market to promote the stability of the domestic stock market and standardization. Employee stock ownership plan will be share a certain percentage of the company’s stock to employees in different ways. This long-term, high yield and can enhance the fundamental position of the staff incentive mode has attracted more and more enterprises and scholars’ s attention. However, foreign scholars found that due to the enterprise by uncontrollable factors such as economy, politics, society, the influence of employee stock ownership plan implemented, enterprises have no achievements in ascension. In the early 90 s, Pierce try to studies the incentive mechanism of ESOP based on psychological ownership. This article under the background of the domestic market, the study of employee shareholding incentive path based on psychological ownership.This article through to the domestic and foreign literature reading, conceived of in this paper, the research hypothesis and a preliminary model; Through the questionnaire survey to collect empirical data, and then use SPSS, AMOS statistical analysis of collected data.The conclusion of this paper are as follows:(1)Information rights of ESOP and employee incentive behavior are positive correlation, and psychological ownership plays an intermediary role in them;(2) Control rights of ESOP and employee incentive behavior are positive correlation, and psychological ownership plays an intermediary role in them;(3)Equity rights of ESOP and employee incentive behavior are positive correlation, and psychological ownership plays an intermediary role in them.
