Under the background of economic globalization, China’s enterprises skillfully grasp theopportunities of globalization, the use of low cost manufacturing technology, quality control and other advantages into the Multi-National Corporation’s global production sy ste m, se e k m or e fa v o ra b le i n v e st m e n t l oc a t i o n a n d re s o u rc e a d v a nta ge s through transnatio nal merger and acquisition. The global merger wave driven, rise of transnational merger and acquisition tide also forced C hinese enterprises to adapt to the tide, more fully more actively t o t he de ve l o p me nt of t he o ve r se a s d ire c t i n ve st m e n t. T o t hi s e n d t h e government encourage andsupport enterprises in part the ability to go abroad, to participate in theglobal competitive market. This paper is based on the well-known domestic enterprises Shuanghui group’s parent company, Shuanghui international mergers and acquisitions in the United Sta tes the largest pork production and processing enterprises- Smith field as an example, carries on the research and discusses the relevant problems.By studying the shuanghui international merger and acquisition of smithfield, hope to use their learned kno wledge, for the deal on the motivation of mergers and acquisitions, mergers and acquisitions in the two aspects of risk analysis are studied and described. In the process of analysis, using the company’s strategy in the analysis of macro environment analysis, PEST analysis, porter’s theory of life cycle, porter’s five models, such as ansoff matrix model, analysis of shuanghui international in some of the problems appeared in the process of m&a smithfield and shuanghui group how to deal with series of uncert ainty factors in overseas mergers and acquisitions, as so far the largest in the United States in China’s m&a, to our country private enterprises go abroad, after going abroad, especially in developed countries such as in the United States to participate in the competition on the market, provides a model worthy of reference and learning.
