In September 29,2013, China(Shanghai)free trade zone(here in after referred to as Shanghai FTZ)was formally established. In the day after the establishment of Shanghai FTA, Shanghai Municipal Government promulgated the “China(Shanghai) free trade zone foreign investment access special management measures(Negative lists)(2013),declaring a trial of negative lists in Shanghai FTZ foreign inventory management model. The negative lists is one of the biggest highlights of Shanghai FTZ, it broke through the former inventory management model, making more access to China market and forced administrative to reform, changing “heavy approval, light regulation” to “light approval, heavy regulation”. In the tide of economic globalization, the negative of Shanghai FTZ proposed a general trend, in not only facilitates China the formulation of new international economical rules, but also created favorable conditions for China's participation in bilateral or multilateral negotiations. In the practices of negative lists of Shanghai, we can form extended and replicable experience so that more areas can enjoy the dividends from negative lists.To our country, negative lists is a new-born thing,it's inevitable and understandable that there are some problem in the development and refinement of the process. The paper describes an overview of negative lists, analyzes the content and features of negative lists of Shanghai, then introduced the practice of developed countries and developing countries and in the end put forward some sound recommendations to the refinement of negative lists of Shanghai FTZ.
