The Law Requirements And System Establishment Of Holding Stocks For Exercising Shareholders' Rights In The Chinese Mainland Capital Market

The holding stocks for exercising shareholders 'rights is specially designed to protect the small shareholders ' rights in the capital market. Other countries of the world and Taiwan area have already set up corresponding organizations to develop this kind of work. However, it is a kind of new mode in Chinese mainland, and the corresponding organization has just set up by China Securities Regulatory Commission for the research and the implementation.As holding stocks for exercising shareholders' rights is a new thing in Chinese mainland, the corresponding legal system is blank and at the same time the corresponding academic research is scare at present.So this article makes holding stocks for exercising shareholders' rights as the research object, and points the corresponding legal system should be build up to guarantee the work of holding stocks for exercising shareholders' rights develop smoothly in the mainland capital market, so as to service for investors.The first chapter of this paper will focus on the content of holding stocks for exercising shareholders' rights. And in this chapter I will also provide the reason why we should choose to develop this kind of work in China mainland.The second and third chapter start to explore the law requirements and system establishment of holding stocks for exercising shareholders' rights in the Chinese mainland capital market. Chapter two will give some systematic suggestions to establish the frame of specific implementing regulations about this system, containing hold stocks, the exercise of stockholder's right, the cooperation and risk mechanism, etc. Chapter three will point some questions in the current law, such as the restricting of holding stocks ratio, subject status in the public litigation and so on, and provide some method to solve the above problems.
