The Research Of The Validity Of Share Transfer Contract Related To The Land Use Right

This paper analyzes the validity of the share transfer contract related to the land use right under PRC law.This paper consists of five parts. The Introduction Part of this paper introduces the phenomenon in the real estate industry, which is the share transfer with a view to assign the land use right. Chapter One gives a brief overview of the said share transfer contract and put up with the issues of the determination of the validity of the contract. Chapter Two analyzes the reasons why the determination on the validity of the said share transfer contract is so difficult. Chapter 3 illustrates the methods to analyze the validity of share transfer contract. The Conclusion Part summarizes the analysis methods and verifies such summary from a law and sociology perspective as well as a law and economic perspective.This paper presents two steps to determine the validity of the share transfer contract. The first step is to determine the name and characteristic of the contract by identifying the intension of the contracting parties through several key facts; the next step is to determine the validity by applying relevant laws and regulations.
