Credit rating institutions originated in the United States, through the development of more than a century, it has become an important system of global capital markets and credit markets. As capital market gatekeepers, the professional, objective and fair image of credit ratings has won wide recognition of the capital markets, and it is an information bridge between debt issuers with investors. Since the subprime mortgage crisis, the civil liability of credit rating agencies has drawn more attention. This article talks about the civil liability of credit rating agencies, through the study of the cases involving the civil liability of credit rating agencies of the United States, and explores the mechanism of accountability of credit rating agencies. The article is divided into three parts.The first part is "credit rating and credit rating agencies". First of all, this part is used to clarify the concept and meaning of credit rating and clarify the connotation of credit rating agencies, and then illustrates the current situation of the development of credit rating agencies both at home and abroad. Finally, it can pave the way for later discussion.The second part is "civil legal liability of the credit rating agency under the perspective of judicial precedent in United States". After all the jurisprudence of the United States relates to the credit rating agencies to sort out, I find the attitude of U.S. courts to credit rating agencies has changed, they start to consider various factors. Besides, I find that credit rating agencies not only are media, but also are an expert, and different identity decides different civil legal responsibility.The third part is the "the construction of civil legal liability of our country's credit rating agencies", based on the above principles that different identity decides different civil legal responsibility, the article talks about the liability of the credit rating agencies.
