Research On Legal Issues Of The Defective Equity Transfer Of Limited Liability Corporation

Defective equity transfer is quite common behavior on the practice of company law.Although on the issue in the form of judicial interpretation in China are clearly defined,but such regulation is not the proper way of dealing with the issue.The current regulations are in the essence of pursuit of individual justice,sacrificing the efficiency of business transactions,and is not conducive to business innovation and economic development.A response to the above problems.it is the focus of this article.But before the final discussion of the issues,also need some discussion on some prevailing problems.First is about the connotation and characteristics of defective contribution.Then we will discuss the validity of defective equity transfer contract.After the discussion of the above issues,all the influence factors will be summarized and analyzed one by one,then find out unreasonable place of the current rules.Comprehensive the above discussion,in the last part of the article,the author tries to put forward ideas to perfect the current regulations,in order to balance the interests of all parties to the largest extent.
