Securities market is an important part of socialist market economy of our country.The development of the securities market in our country has been playing a gradually growing important role in the development of the real economy.The cases of Nanfang Corporation in 2015,which attracted much attention,caused the profound thinking about the misrepresentation of securities professional.Information disclosure as the basic principle of the securities market has played a vital role on maintaining the market stability,protecting investors' interests,safeguard social and economic development.Among the participants in the securities market,the status of the professional received much attention.Given fully trust to the professional ability,investors always determine the final investment target according to the special professional reports.However,the legal system under the present situation in China,the lack of the laws and principle about liability form of securities professionals.Meanwhile,for the division standard of the disclosure in our country is not clear,leads to the professional bear the inappropriate responsibility because of the misrepresentation.This article tried to use the concept of misrepresentation as the breakthrough point,fully analyzed the civil liability of misrepresentation in securities market,which involved in the judicial practice of all kinds of theories and practice problems.Combining with the relevant provisions of the relevant countries and regions,using a combination of comparative analysis method,historical analysis method and the empirical analysis method,carried on the discussion about the misrepresentation behaviors of securities professionals,the nature of the professional liability,the principle of imputation and the standard of fault for professionals,to bring forward some corresponding suggestions,try to enrich and perfect the legal content about solving the problems of misrepresentation.
