My Opinions On Dormant Shareholder

With the rapid development of Chinese market economy.The dormant shareholder system is being used by many investors.Dormant investment refers very extensive scope,and more and more legal disputes are arising out of it,resulted from the complexity of the investment relationship,the characteristics of dormant nature of the investors and some dormant shareholders are not clearly defined in the Chinese law system.This paper consists of five parts:the first chapter is overview of the dormant shareholder.Analysis the concept,characteristics and the causes of dormant shareholder.In second chapter,i like to talk about the implicit identification of shareholder,because shareholder qualification is the prerequisite for shareholders to obtain benefits and bear obligations.The third chapter listed all the advantages and disadvantages of dormant shareholder system.The forth chapter is to list the four kinds of disputes arising from the implicit investment and give the corresponding solution.The fifth chapter introduces the advantages of the equity trust system and its coincidence with the dormant shareholder system,raise the proposals of improving the dormant shareholder.
