As the most basic cell and the most important subject in the modern economic market,the company has enormous influence on the country,society and the individual.The company registration system is an important method for the government to supervise the company.In this system,the company registration authority determines whether the corporate personality is conferred on the company,and whether this company is entitled to engaged in the management of market activity as a legal person based on the review of the establishment and registration materials that the applicants submitted.According to the existing laws,administrative regulations and rules of our country,the existing registration examination form of Chinese companies is mainly in the form of formal review,which means that our registration authorities only examine whether the readiness and completeness of the applicant's application materials and the registration matters listed in the application materials,without any examination on the factuality and legality of the application materials,and if the application materialsconform to legal requirements and specify the provisions of the law,the administrative decision will be made by registration authority to approve the registration.In this form of review mode,although the efficiency of the company's registration is increased,the situation of defective incorporation of companies has emerged.For example,in recent years,there have been a large number of cases in which the applicants submitted false documents to defraud the registration.Such acts damaged the interests of the interested party,undermined the construction of social credit system,and brought a lot of adverse effects.This paper provides the case introduction,reason analysis and a review of the dilemma of the registration system,which provides a clearer understanding of the further study of such cases.This paper has elaborated the current dilemma that registration authorities faced when dealing with such cases,analyzes the way of company registration review in which analyzes the way of company registration examination,analyzes the prudent registration obligation of the company registration authority,and finally proposes suggestions on the solutions of cases which submitting false documents to defraud the registration,and hope to play a positive role in the handling of such cases.
