Research On The Legal Protection Of Limited Partner Rights Of Private Equity Funds

As a kind of financial investment instruments,private equity funds play an increasingly important role in China's economic development.It is mainly to raise capital and to specific investors,non-public way to raise,and then by a professional fund management company or the fund managers charged accordingly after specialization to raise capital operation,through the Target Corp listing,mergers and acquisitions,repurchase and other ways to exit the investment and investment profit.Private equity fund has played an important role in optimizing the investment structure,broadening the investment channels and giving full play to the advantages of capital in the socialist market economy of our country.But our current law is not on private equity fund especially limited partnership private equity funds are not clearly defined,the private equity fund unified legislation is not perfect,other aspects of the system,in practice,the private equity fund limited partner interests often damage can not be timely and effectively the relief.I start with our limited partnership private equity fund the development of the theory and practice,combing the limited partnership private equity fund related theory,expounds the essence of private equity funds,private equity funds and limited partnership with the advantages of the system,and the important role of Limited Partnership Private Equity Fund in China's economic development the effects of Limited Partnership Private Equity Fund in the course of China's development problems in the analysis and the main way of limited partner interests of private equity fund investment entity.Finally,by analyzing the existing theory and practice of the Limited Partnership Private Equity Fund in the problem,put forward the conclusion of this paper and from the improvement of the law,regulatory functions of the division,the third party intermediaries supervision and fund management of the four aspects put forward proposals,hoping to have some reference to the private limited partnership fund the development and protection of the rights and interests of the limited partner.
