Research On The Regime Of Endure Fault In Reform Of State-owned Enterprise

The establishment of state-owned enterprise reform fault-tolerant mechanism is of great significance to the reform and development of state-owned enterprises in our country.The practice and theoretical researchon the fault-tolerant mechanism of state-owned enterprise reform have just started,which can not provide effective guidance for theestablishment and operation of the fault-tolerant mechanism of state-owned enterprises,and can not meet the needs of state-owned enterprise reform practice.On the basis of clarifying the background and significance of the topic selection and the description of the domestic and foreign research on the fault tolerance mechanism of state-owned enterprises reform,this paper systematically explains the basic connotation,application scope and basic principles of fault-tolerant mechanism,and then studies the necessity and feasibility of establishing fault-tolerant mechanism.The current situation of the legal system of fault tolerance in China's state-owned enterprise reform and its existing problems are the starting point of studying the legal construction of fault-tolerant mechanism of state-owned enterprise reform.The second chapter elaborates the present situation of the fault-tolerant legal system of state-owned enterprise reform in our country,and points out that the problems existing in the reform mechanism of state-owned enterprises are mainly conceptual problems,legislative problems and practical problems.The third chapter introduces the basic problems of constructing the fault-tolerant legal system of state-owned enterprise reform,including the status of state-owned enterprise reform fault-tolerant legal system in our legal system,scope of application,identification of the subject,identification of procedures and legal consequences.The fourth chapter studies the problems existing in the system of fault tolerance legal system of state-owned enterprises in China and puts forward some suggestions.The existing problems are that the corporate law and the securities law on the corporate governance structure and the protection of small and medium shareholders are not conducive to the establishment of fault-tolerant mechanism,the existence of state-owned assets management laws and regulations in the transfer of property pricing issues,and the relationship between disciplinary punishment and administrative disciplinary provisions and the fault-tolerant legal system of state-owned enterprise reform.
