Research On Supporting Mechanisms For New Corporate Capital System

The new company law which became effect on March 1,2014 has brought great changes to our market.Statistics show that the number of new company establishments has considerably increased during three months after the new law implemented.This amendment of the company law is really a breakthrough in Chinese corporate capital system.The new system improves the capital investment enthusiasm,stimulates the market vitality,and promotes the development of market economy.The benefit to the market cannot be estimated at the beginning of the reform of corporate capital system,because the reform of a legal system also needs some supporting mechanisms to get better effects.However,the mechanisms for supporting the company's capital system have not been reformed.In fact,the results of the new corporate capital system are difficult to predict if the auxiliary mechanisms are not adjusted.Therefore,it is crucially important to reform the supporting mechanisms for the new corporate capital system.This thesis consists of five parts.First,the motivation and significance of the research topic,the research situation of domestic and foreign company capital system,and the method of this study are described in the Introduction.The second part is about the revolution of Chinese Company Law.It gives a brief introduction about the history of revolution of Chinese Company Law,comparing Chinese corporation capital system reform comments,and the analysis of the history.Moreover,a quantitative analysis of the amendment of the Company Law is also given in this part.The third part shows the impact of the new company law,in perspective of company,creditors,employers and the Government,analyzing the impact of the Chinese market after the implementation of the new law.The forth part gives a brief introduction of company capital system and its supporting mechanism abroad.The markets of America and Japan are chosen as example because their markets are developed and have perfect supporting mechanisms.Learning from their market and related systems,find out something active for our reform of supporting mechanism.In the last part,some suggestions are given to improve supporting mechanism of company capital system,from the aspect of the company's management,institution of company credit rating,monitoring mechanism of the company,protection of creditors and disciplinary system.
